These Terms and Conditions ("Terms") govern your access to auctionrpm.com and the website content, downloads, trial registration, checkout links, and related online services offered by Midnight To Four Enterprises, doing business as AuctionRPM ("AuctionRPM," "we," "us"). By using the website, you agree to these Terms. If you do not agree, do not use the website.

1. Website use

Use the website only for lawful purposes. You may not interfere with its operation, attempt unauthorized access, distribute malicious code, misrepresent your identity, or misuse downloads or registration services. We may restrict access to protect our systems and users.

2. Product information and availability

Descriptions, screenshots, features, prices, and availability may change. We strive for accuracy but may correct errors and update or discontinue offerings, subject to existing contractual obligations and applicable law. The website may link to third-party services, including payment processors.

3. Trials and registration

Trial access may be time-limited and subject to technical or usage restrictions disclosed at registration. You agree to provide accurate registration information and safeguard any license or registration code. A trial does not grant a permanent software license.

4. New monthly software subscriptions

For new customers purchasing a monthly AuctionRPM software lease, continued software-use rights depend on an active, paid subscription under the applicable plan. The selected plan establishes the licensed user limit. Technical support is included with these active software subscriptions as described in the applicable offering. Billing, renewal, cancellation, and any refunds are subject to the terms disclosed at checkout and any separate subscription agreement. Please review the billing frequency, recurring charges, cancellation terms, refund information, and applicable taxes displayed at checkout before purchasing. Contact us if any of these details are unclear.

5. Existing perpetual-license customers

Customers who previously purchased valid perpetual AuctionRPM licenses retain those perpetual software-use rights according to their original license agreements. Those rights are not canceled, converted to monthly leases, or made conditional on buying technical support by these website Terms. An optional technical-support-only subscription may be offered separately; expiration or cancellation of that support subscription does not invalidate the underlying perpetual software license. Any separate support subscription governs support availability, not perpetual software-use rights.

6. Software license agreements

Downloading or using AuctionRPM software may be subject to an applicable end-user license agreement or the original agreement under which the software was purchased. Those license terms govern software-use rights if they conflict with general website-use terms. Nothing here reduces previously granted perpetual-license rights.

7. Payments

Payments may be processed by Square or another disclosed provider. You authorize charges presented and accepted during checkout. We do not promise uninterrupted access to third-party payment services. Contact us about billing errors so they can be investigated. Any legally required cancellation, refund, or consumer rights remain applicable.

8. Intellectual property

The AuctionRPM name, software, branding, website text, graphics, and other content are owned by AuctionRPM or their respective licensors and are protected by applicable law. Except as expressly authorized, you may not reproduce, redistribute, reverse engineer, or commercially exploit protected materials in violation of applicable licenses or law.

9. Customer data and responsibility

Customers are responsible for their own auction-business records, the accuracy of data entered into the software, authorized use of their systems, appropriate backups, and compliance with laws governing auction operations and personal information. Operational data is ordinarily stored on customers’ own systems and is not automatically transmitted to our servers. With customer permission, support personnel may obtain a copy of a customer database for troubleshooting, future testing, or possible data recovery, as described in our Privacy Policy. Customers may request deletion after their support issue is resolved.

10. Support and availability

We make reasonable efforts to maintain website and licensing-service availability but cannot guarantee uninterrupted operation. Support scope, hours, response times, and eligibility depend on the customer's applicable lease or support arrangement. Planned maintenance, third-party outages, and events beyond our control may affect access.

11. Disclaimer

To the extent permitted by law, the website and informational content are provided on an "as available" basis without guarantees of uninterrupted or error-free operation. This disclaimer does not override express written warranties, applicable software license commitments, or non-waivable statutory rights.

12. Limitation of liability

To the extent permitted by applicable law, AuctionRPM is not liable for indirect, incidental, special, or consequential damages arising solely from use of the website. This website provision does not modify the liability terms of an applicable software license or other executed agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

14. Governing law and disputes

These Terms are generally governed by the laws of the State of Florida, United States, excluding conflict-of-law rules, except where mandatory law provides otherwise.

We may revise these website Terms from time to time. The updated date appears above. Changes do not retroactively revoke existing perpetual software licenses or alter an executed agreement where consent is required.
